Terms of Service

1. Introduction & Acceptance of Terms

These Terms of Service (“Terms”) form a legally binding agreement between Terminal34 LLC (“Terminal34,” “we,” “our,” or “us”)—a Puerto Rico limited-liability company with its principal place of business at Carr 167, Esq. Calle Manuel Rossi #34, Bayamón, Puerto Rico 00959, United States—and each individual or legal entity (“you,” “User,” or “Resident”) that accesses or uses VeciOS, our cloud-based homeowners-association management platform.

VeciOS enables (i) creation and administration of homeowners associations (“HOAs”) via a paid Stripe subscription, (ii) resident onboarding through invitation tokens, and (iii) role-based participation in features such as maintenance-ticketing, announcements, meetings, polling, file storage, and dashboard analytics. The Service includes all related websites, mobile apps, APIs, email notifications, and tools (collectively, the “Service”). By accessing, registering for, or otherwise using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy (together, the “Agreement”). If you do not agree, you must not use the Service. The English version governs in case of conflict with any translation.

2. Eligibility & Account Registration

Age and Capacity. The Service is intended solely for natural persons who are at least eighteen (18) years old and possess the legal capacity to enter into contracts under the laws of the United States and their country or state of residence. By creating an account, you represent and warrant that you satisfy these requirements.

Registration Paths and Roles. HOA Administrators. A prospective HOA is created when an eligible individual completes the “Beta Launch” subscription checkout (currently USD 49.95 per month) via Stripe. Upon successful payment, an automated webhook establishes the HOA entity, assigns the purchaser the Admin role, and records the subscription. Residents and Board Members. Existing HOAs invite additional users through secure invitation tokens. Accepted invitations map each user to one of three roles—Admin, Board Member, or Resident—which in turn govern permitted actions within the dashboard. Authentication. All sign-in, session management, and password-reset functions are provided by Supabase. You agree to supply accurate, current, and complete registration information, keep your credentials confidential, and immediately notify us of any unauthorized use. You remain responsible for all activities that occur under your account. Account Integrity. We may refuse, reclaim, or remove any account or username that (a) impersonates another person or entity, (b) infringes intellectual- property or privacy rights, or (c) is otherwise unlawful, offensive, or misleading, as determined in our sole discretion.

3. Changes to the Service or to These Terms Service Evolution. VeciOS is an actively developed platform. We reserve the right to add, modify, suspend, or discontinue any feature, module, or pricing tier (including the current Beta Launch tier) at any time. Where commercially reasonable, we will give advance notice via the Service interface or the email linked to your account. Amendments to the Terms. We may revise these Terms periodically. Material changes will become effective 30 days after we post the updated Terms and notify you by in-app message or email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the amendments, you must stop using the Service before the changes take effect. Version Archive. Prior versions of these Terms will be retained and made available upon written request for compliance or audit purposes.

4. Permitted & Prohibited Uses Permitted Uses. You may access and use the Service solely for the legitimate internal management of your homeowners association, including: Creating or administering an HOA account and associated Stripe subscription; Inviting residents, board members, and additional administrators; Managing maintenance tickets, announcements, meetings, polls, and resident files; Viewing dashboards, metrics, and reports generated by VeciOS; and Downloading or exporting data that you are expressly allowed to access under your role. Prohibited Uses. You agree not to: Misuse the Platform. Copy, scrape, spider, crawl, or otherwise harvest data from the Service, whether by automated or manual means, except as enabled through documented APIs. Reverse-Engineer. Decompile, disassemble, test-penetrate, or otherwise attempt to derive source code, underlying ideas, or non-public algorithms. Interfere With Security. Circumvent or attempt to defeat authentication or authorization checks, rate limits, or encryption controls. Upload Harmful Material. Introduce malware, ransomware, or any code designed to disrupt, damage, or limit the Service or a user’s equipment. Violate Law or Rights. Post or transmit content that is defamatory, obscene, harassing, hateful, discriminatory, or infringes any patent, trademark, trade secret, copyright, privacy, or publicity right. Commercially Exploit. Sell, rent, sublicense, lease, or offer the Service to third parties on a service-bureau basis without our prior written consent. Abuse Communications. Send spam, chain letters, or unsolicited bulk email via the Service, or otherwise use the built-in email utilities for non-HOA or unlawful purposes. Impersonate or Misrepresent. Falsely represent your identity or affiliation, or misstate the origin of any information. Enforcement. We reserve the right to investigate violations, suspend or terminate accounts, remove content, or take any other action we deem necessary to protect the Service, its users, and third parties, including reporting unlawful conduct to authorities.

5. User-Generated Content (“UGC”) Ownership. Except for the licence granted below, you retain all rights, title, and interest in and to UGC you submit or upload (e.g., resident lists, ticket descriptions, announcements, meeting minutes, polls, file attachments). Licence to Terminal34. By posting or transmitting UGC via the Service, you grant Terminal34 LLC a world-wide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (solely for display or formatting), distribute, perform, and display such content for the purpose of operating, improving, and providing the Service. This licence ends when you delete the UGC from the Service, except (a) to the extent it has been shared with others and they have not deleted it, and (b) as required for legitimate business records, legal compliance, or backup systems for a commercially reasonable period. Content Standards. You agree that UGC must be accurate, lawful, and not violate these Terms or any third-party rights. We have no obligation to monitor UGC but may remove or disable access to any content that we reasonably believe breaches the Agreement. DMCA / IP Takedown. If you believe content on the Service infringes your copyright, please send a proper DMCA notice to bgarcia@vecios.com with the information required by 17 U.S.C. § 512(c)(3). We will respond in accordance with the DMCA and other applicable laws.

6. Intellectual-Property Rights Service IP. The Service, including all underlying software, source code, visual interfaces, design, text, graphics, logos, trademarks, and compilation thereof, is the exclusive property of Terminal34 LLC or its licensors and is protected by U.S. and international copyright, trademark, patent, and trade-secret laws. All rights not expressly granted in this Agreement are reserved. Trademarks. “VeciOS,” “Terminal34,” and all associated logos are trademarks or registered trademarks of Terminal34 LLC in the United States and other jurisdictions. You may not use them without our prior written consent, except to factually reference the Service. Open-Source Components. Certain components of the Service may incorporate or link to open-source software, which remains licensed under its respective open-source licences. Nothing in these Terms restricts your rights under such licences. Restrictions. You may not (a) frame or mirror any part of the Service without our express written consent, (b) remove, obscure, or alter proprietary rights notices, or (c) copy, reproduce, distribute, publicly display, or create derivative works from any part of the Service except as expressly permitted under Section 4 (Permitted Uses) or by mandatory law. Feedback. If you choose to provide comments, ideas, or suggestions regarding the Service (“Feedback”), you grant us a perpetual, irrevocable, non-exclusive, royalty-free licence to use, modify, and incorporate such Feedback without any obligation or compensation to you.

7. Subscription & Payment Terms Pricing Model. VeciOS is offered under a single “Beta Launch” subscription priced at USD 49.95 per HOA per month. The fee grants unlimited resident seats and access to all current modules. Billing and Renewal. Auto-Renewal. Subscriptions renew automatically on a monthly cadence until cancelled. Payment Processor. All charges are handled by Stripe, Inc.; your payment method is stored and processed exclusively on Stripe’s systems. We do not retain complete card numbers. Currency & Taxes. Prices are quoted and payable in U.S. dollars. Applicable sales, value-added, or similar taxes (including Puerto Rico IVU, where applicable) will be added at checkout and itemised on your invoice. Trials and Promotional Credits. Unless expressly stated in writing by Terminal34, no free trial or promotional credit applies to the Beta Launch tier. Refunds and Cancellations. Self-Service Cancellation. Admins may cancel at any time through the in-app Stripe Customer Portal. The subscription remains active until the end of the current billing period; no further charges will accrue. Refund Policy. Fees are non-refundable and non-proratable, except where required by law or expressly agreed in writing. Chargebacks. Initiating a chargeback may result in immediate suspension of the HOA account pending resolution. Late or Failed Payments. If Stripe cannot collect the monthly fee, we will notify the Admin and retry the charge in accordance with Stripe’s smart-retry schedule. After seven (7) days of non-payment, we may suspend account access; after thirty (30) days, we may terminate the subscription (see Section 9).

8. Third-Party Links & Integrations External Sites. The Service may contain links to third-party websites or resources. Terminal34 is not responsible for the content, products, or services on or available from those sites and does not endorse them. Accessing third-party resources is at your own risk. Integrated Providers. VeciOS makes use of the following external platforms solely to deliver core functionality: Stripe – payment processing, invoicing, and Customer Portal; Supabase – user authentication, database storage, and file handling; Resend – transactional-email delivery. Your use of these services is additionally governed by each provider’s own terms and privacy policies. Terminal34 disclaims liability for downtime, data loss, or other issues traceable to such providers. No OAuth/API Authorisations. VeciOS does not request, require, or store OAuth tokens or comparable credentials that would permit it to act on your behalf in external systems other than the specific integrations named above.

9. Termination & Suspension Grounds for Action. We may suspend or terminate your account, or the entire HOA workspace, upon: Material breach of these Terms (including Prohibited Uses under Section 4); Non-payment or chargeback (Section 7.5); Prolonged inactivity (no Admin login for twelve (12) months); Legal or regulatory mandate; or A good-faith belief that action is necessary to protect the Service, users, or third parties. Notice. Except in urgent or unlawful-content situations, we will give the Admin seven (7) days’ prior notice via email before suspension or termination, describing the reason and steps (if any) to cure. Effects of Termination. Service Access. All licences granted under this Agreement cease; dashboards become inaccessible. Data Deletion (No Retention). Upon the effective termination date, all HOA data— including resident records, files, tickets, polls, and email logs—will be permanently and irreversibly deleted from active storage within twenty-four (24) hours. Encrypted backups are purged on their next rotation, which occurs within seven (7) days. No recoverable copy is retained, save for minimal billing metadata that we are legally obliged to preserve for tax or accounting compliance. Survival. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and this subsection survive any termination. Appeals. If you believe your account was suspended or terminated in error, contact bgarcia@vecios.com within fifteen (15) days of notice. We will review and respond in good faith but are not obligated to reinstate an account.

10. Disclaimers of Warranty “AS IS” / “AS AVAILABLE”. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, without warranties of any kind—express, implied, statutory, or otherwise—including, without limitation, warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, and any warranties arising out of course of dealing or usage of trade. No Performance or Accuracy Guarantees. Terminal34 does not warrant that (a) the Service will be uninterrupted, timely, secure, or error-free; (b) data displayed or generated will be accurate or complete; or (c) defects will be corrected. Technology Limitations. You acknowledge that (a) the internet is an inherently insecure environment; (b) downtime, delays, or other problems inherent in the use of communications networks may occur; and (c) third-party providers (Stripe, Supabase, Resend) may experience outages beyond our control. Non-Excludable Rights. Some jurisdictions do not allow the exclusion of certain warranties. Nothing in this Section 10 limits any rights that cannot be excluded under applicable law.

11. Limitation of Liability Damages Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERMINAL34’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD 100) OR (B) THE AMOUNT YOU PAID TO TERMINAL34 FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. Excluded Damages. IN NO EVENT will Terminal34 or its directors, officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages—including lost profits, loss of goodwill, loss of data, or business interruption—arising out of or in connection with the Service or these Terms, even if we have been advised of the possibility of such damages and regardless of the theory of liability. Scope and Allocation of Risk. The limitations in this Section 11 form an essential basis of the bargain between the parties and apply to all causes of action, whether in contract, tort (including negligence), strict liability, or otherwise. Mandatory Consumer Protections. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for gross negligence, willful misconduct, or death or personal injury caused by negligence).

12. Indemnification You agree to defend, indemnify, and hold harmless Terminal34 LLC, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all third-party claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: Your Breach. Any violation of these Terms or of applicable law; Your Content. User-Generated Content you upload, post, or otherwise transmit through the Service, including claims that such content infringes or misappropriates intellectual-property or privacy rights; Your Conduct. Fraud, negligence, willful misconduct, or other unlawful acts or omissions by you or anyone using your account; or Your HOA’s Activities. Disputes or liabilities between you (or your HOA) and residents, vendors, government entities, or other third parties. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims. You will not settle any claim without our prior written consent unless the settlement fully and unconditionally releases Terminal34 from all liability.

13. Governing Law & Venue — No EU Availability Territorial Reach. The Service is offered only to individuals and entities located outside the European Union (“EU”) and European Economic Area (“EEA”). By creating an account or otherwise using the Service, you represent and warrant that you are not domiciled in, ordinarily resident in, or accessing the Service from any EU/EEA member state. Choice of Law. This Agreement and any dispute or claim (whether contractual or non-contractual) arising from it are governed by the laws of the Commonwealth of Puerto Rico and the federal laws of the United States applicable therein, without regard to conflict-of-law principles. Exclusive Venue. Except as provided in Section 14 (Dispute-Resolution Mechanism), the courts located in San Juan, Puerto Rico shall have exclusive jurisdiction over all disputes that are not subject to arbitration. You consent to the personal jurisdiction of those courts. Ineligible Users. If you are subject to EU consumer-protection legislation or EU data-protection law, you must not use the Service. We reserve the right to reject, suspend, or terminate any account that appears to violate this territorial restriction.

14. Compliance & Regulatory Notices — U.S.-Focused U.S. Privacy Laws (CCPA/CPRA). VeciOS is a “service provider” under the California Consumer Privacy Act and its amendments. We do not “sell” or “share” personal information as defined by that statute. California residents may exercise access, deletion, and correction rights through the channels set out in the Privacy Policy. No EU Processing Intent. Terminal34 does not target, market to, or knowingly collect personal data from EU/EEA residents and therefore does not purport to comply with the EU General Data Protection Regulation, the UK GDPR, or the EU Digital Services Act. Any personal data inadvertently received from an EU/EEA source will be deleted upon discovery. Export-Control & Sanctions. You may not use, export, or re-export the Service in violation of U.S. export laws and regulations or those of any other applicable jurisdiction, including the U.S. Export Administration Regulations and Treasury Department sanctions programmes. Accessibility Commitment. Terminal34 endeavours to conform VeciOS to WCAG 2.1 Level AA standards. Accessibility concerns may be reported tobgarcia@vecios.com. Government End-Users. The Service is “commercial computer software” within the meaning of FAR 2.101 and DFARS 252.227-7014; U.S. government end-users acquire only those rights expressly granted herein.

15. Security & Data-Protection Commitments Encryption in Transit. All browser- and API-level traffic is forced over TLS 1.2 or higher. Administrative logins to infrastructure are protected by multi-factor authentication and IP-restricted tunnels. Encryption at Rest. Production databases, file objects, and backups are AES-256 encrypted at rest. Encryption keys are stored and rotated in a managed hardware-security-module service. Incident Response. Terminal34 maintains a written security-incident–response plan. If we confirm an unauthorised acquisition of unencrypted personal data, we will (a) contain and remedy the incident without undue delay, and (b) notify affected Admins within seventy-two (72) hours—or sooner if required by applicable law—with relevant facts and remediation guidance. Vulnerability Reporting. We operate a coordinated-disclosure programme. Suspected vulnerabilities may be reported to bgarcia@vecios.com. Good-faith reporters will not be subject to legal action provided testing is non-destructive and limited to their own accounts. Customer-Side Responsibilities. Users are responsible for: (a) securing endpoint devices, browsers, and local networks; (b) maintaining strong, unique credentials; (c) applying vendor-supplied security patches promptly; and (d) restricting access to authorised personnel. Terminal34 is not liable for breaches arising from a User’s failure to meet these obligations.

16. Service Availability & Force Majeure No Guaranteed Uptime. Unless the parties execute a separate written service-level agreement, VeciOS is provided without any uptime guarantee. Planned maintenance windows that materially affect availability will be announced at least twenty-four (24) hours in advance when practicable. Force Majeure. Terminal34 is not liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, government actions, power or internet failures, or outages at third-party hosting or network providers. The affected party will use commercially reasonable efforts to mitigate the impact and resume performance as soon as feasible.

Feedback & Beta Features License to Feedback. If you choose to provide ideas, suggestions, or other feedback regarding the Service (“Feedback”), you grant Terminal34 a perpetual, irrevocable, royalty-free, worldwide licence to use, modify, and incorporate the Feedback in any manner without accounting or compensation to you. Beta or Preview Modules. Certain functions may be identified as “Beta,” “Preview,” or “Experimental.” These modules are offered “AS IS,” may contain bugs or inaccuracies, and can be modified, suspended, or withdrawn at any time without notice. Use of Beta features is entirely at your own risk, and their performance does not count toward any availability measurement. Early Access Confidentiality. Unless we state otherwise in writing, information about unreleased features is Terminal34 confidential information; you agree not to disclose screenshots, performance metrics, or other non-public details.
